Terms of Service

These Terms of Service ("Terms") govern your access to and use of Prestige software and services provided by MegaCoolCorp ("we," "us," or "our"). By using our services, you agree to these Terms.
1. Acceptance of Terms
By creating an account, downloading, installing, or using Prestige, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not use our services.
You represent that you are at least 18 years old or have the legal capacity to enter into binding contracts in your jurisdiction.
2. Description of Service
Prestige is an AI-powered assistant plugin for SideFX Houdini that provides:
- Natural language code generation for VEX and Python
- Context-aware scene analysis and suggestions
- RAG-enhanced documentation access
- Node graph analysis and debugging assistance
- Integration with multiple LLM providers
The service requires an active subscription, a valid license key, and a compatible version of Houdini (19.5 or later).
3. Account Registration and Security
3.1 Account Creation
To use Prestige, you must:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
3.2 Account Responsibility
You are responsible for all activities that occur under your account. You agree not to share your account credentials or license keys with unauthorized parties.
4. Subscription Plans and Pricing
4.1 Plans
We offer the following subscription plans:
- Free Tier: Limited access with basic features
- Paid Plans: Full access with advanced features, billed monthly or annually
4.2 Payment Terms
- All fees are in USD unless otherwise stated
- Subscriptions automatically renew unless canceled
- Payment is processed through Stripe
- You authorize us to charge your payment method for all fees
- Prices may change with 30 days' notice
4.3 Free Trial
New users may be eligible for a free trial period. After the trial, your subscription will automatically convert to a paid plan unless canceled. No charges will be made during the trial period.
5. License Grant and Restrictions
5.1 License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download, install, and use Prestige on authorized machines
- Use the service for personal or commercial projects
- Generate and use code output for your own purposes
5.2 License Restrictions
You may not:
- Share, transfer, or sublicense your license key to third parties
- Reverse engineer, decompile, or disassemble the software
- Remove or modify any proprietary notices or labels
- Use the service to create competing products
- Exceed the number of activations allowed by your plan
- Use the service for illegal, harmful, or fraudulent purposes
- Attempt to bypass license verification or security measures
- Scrape, mine, or extract data from the service
5.3 License Activation
Each license key may be activated on a limited number of machines as specified in your plan. Deactivation of machines may be required before activating on new machines.
6. Intellectual Property Rights
6.1 Your Content
You retain all rights to code, prompts, and content you create using Prestige. We do not claim ownership of your generated output.
6.2 Our Property
Prestige software, including all code, algorithms, documentation, trademarks, and intellectual property, remains the exclusive property of MegaCoolCorp. These Terms do not grant you any ownership rights.
6.3 Feedback
If you provide feedback, suggestions, or ideas about Prestige, we may use them without obligation or compensation to you.
7. Third-Party Services
7.1 LLM Providers
Prestige integrates with third-party LLM providers (Groq, Anthropic, OpenAI, Google, etc.). You are responsible for:
- Obtaining your own API keys from providers
- Complying with provider terms of service
- Paying any fees charged by providers
- Understanding provider privacy policies
We are not responsible for third-party provider availability, pricing, or policies.
7.2 Houdini Software
Prestige requires SideFX Houdini software (sold separately). You must comply with SideFX's license terms.
8. Service Availability and Support
8.1 Uptime
We strive to maintain high service availability but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability.
8.2 Support
Support is provided via email at support@megacoolcorp.com. Response times vary based on your plan and issue complexity.
8.3 Updates
We may release updates, bug fixes, and new features. Some updates may be automatic, while others may require manual installation.
9. Cancellation and Refunds
9.1 Cancellation
You may cancel your subscription at any time through your dashboard. Cancellations take effect at the end of the current billing period. You will retain access until the period ends.
9.2 Refund Policy
We offer refunds under the following conditions:
- First-time subscribers: Full refund within 30 days of first payment
- Service issues: Prorated refund if service is unavailable for extended periods
- Billing errors: Full refund for incorrect charges
Refunds are not provided for:
- Partial billing periods
- Unused portions of annual plans (after 30 days)
- Third-party LLM provider costs
- Violations of these Terms
10. Termination
10.1 Termination by You
You may terminate your account at any time by canceling your subscription and contacting support to request account deletion.
10.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms or our policies
- Fail to pay subscription fees
- Engage in fraudulent, illegal, or abusive behavior
- Compromise the security or integrity of our services
- Harm other users or our reputation
10.3 Effect of Termination
Upon termination:
- Your license to use Prestige immediately ends
- You must cease all use and uninstall the software
- Your account data may be deleted after 30 days
- No refunds will be provided for violations
11. Disclaimers and Limitations of Liability
11.1 Warranty Disclaimer
PRESTIGE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
We do not guarantee that:
- The service will be uninterrupted, secure, or error-free
- Generated code will be bug-free or suitable for your purposes
- The service will meet your specific requirements
- Third-party LLM providers will be available or accurate
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEGACOOLCORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM:
- Your use or inability to use the service
- Errors, bugs, or inaccuracies in generated code
- Unauthorized access to your account or data
- Third-party conduct or content
- Service interruptions or termination
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11.3 AI-Generated Content
You acknowledge that Prestige uses AI models that may produce inaccurate, incomplete, or inappropriate output. You are solely responsible for reviewing, testing, and validating all generated code before use in production environments.
12. Indemnification
You agree to indemnify, defend, and hold harmless MegaCoolCorp, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of Prestige
- Your violation of these Terms
- Your violation of any third-party rights
- Your use of generated code
13. Dispute Resolution
13.1 Informal Resolution
Before filing a claim, you agree to contact us at legal@megacoolcorp.com to attempt to resolve the dispute informally for at least 30 days.
13.2 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in English.
13.3 Class Action Waiver
You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts located in France.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the service. Continued use after changes constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using the service and cancel your subscription.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MegaCoolCorp regarding the service.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet outages.
